1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Khayal mobile application, caregiver portal, admin portal, and related services (collectively, the "Service"), made available at khayal.isra-ai.co and through the Apple App Store and Google Play Store by ISRA AI LLC, a New Mexico limited liability company ("ISRA AI," "Khayal," "Company," "we," "us," or "our"). ISRA AI LLC can be reached at the contact information in Section 17 below.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of the Service

Khayal is a care-coordination platform designed to help families monitor and support the wellbeing of Health Users. The Service facilitates communication, reminders, and information-sharing between three categories of users:

  • Caregiver — typically a family member who registers for the Service, is the billing account holder, and receives monitoring alerts and summaries;
  • Care Provider — an in-home aide or hired helper who may enter day-to-day observations on behalf of the Health User;
  • Health User — the individual receiving care, who may interact with the Service via voice or a simplified interface.

3. Critical Disclaimers — Please Read Carefully

3.1 Not a Medical Device. Not Medical Advice. Khayal is a wellness, communication, and care-coordination tool. It is not a medical device, is not intended to diagnose, treat, cure, or prevent any disease or medical condition, and has not been evaluated or cleared by the U.S. Food and Drug Administration or any equivalent regulatory body. Any vitals tracking, "baseline normal range," AI-generated summaries, or plain-language explanations provided through the Service are informational only and are not a substitute for professional medical judgment, diagnosis, or treatment. Always consult a qualified healthcare provider regarding any medical questions or concerns.

3.2 Not an Emergency Service. Khayal is not a medical alert system, emergency response service, or substitute for calling emergency services. Alerts, notifications, and "emergency detection" features may fail, be delayed, or be inaccurate due to connectivity issues, device limitations, sensor limitations, software errors, or other factors outside our control. In the event of a medical emergency, call 911 (or your local emergency number) immediately. Do not rely on Khayal to detect or respond to emergencies.

3.3 No Guarantee of Accuracy or Continuous Monitoring. The Service depends on data voluntarily entered by Caregivers, Care Providers, and Health Users, on third-party AI processing (including speech-to-text, text-to-speech, and large language model providers), and on device and network conditions. We do not guarantee that information displayed through the Service is complete, accurate, timely, or that alerts will be generated or delivered in every circumstance requiring one. You acknowledge that AI-generated summaries and interpretations may contain errors ("hallucinations") and should be independently verified before being relied upon.

3.4 Not a HIPAA Covered Entity or Business Associate. Unless we have separately entered into a written Business Associate Agreement with you, ISRA AI LLC does not act as a "covered entity" or "business associate" under the U.S. Health Insurance Portability and Accountability Act ("HIPAA"), and the Service is not intended for use in submitting or storing protected health information on behalf of a HIPAA-covered healthcare provider, health plan, or clearinghouse.

4. Eligibility and Accounts

You must be at least 18 years old to register as a Caregiver or Care Provider account holder. Health Users may be onboarded by a Caregiver who represents that they have appropriate authority (e.g., as a family member, legal guardian, or holder of healthcare power of attorney where required) to do so on the Health User's behalf, and that appropriate consent for data collection and sharing has been obtained from or on behalf of the Health User in accordance with applicable law. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

5. Roles, Consent, and Data Sharing Among Users

Because the Service is designed for multiple parties to view and enter information about the same Health User, you acknowledge that:

  1. Information entered by a Care Provider or Caregiver about a Health User may be visible to other linked Caregivers;
  2. The Caregiver who establishes a Caregiver–Health User link is responsible for ensuring that such linkage and associated data sharing is authorized;
  3. Health Users, or their authorized representatives, retain the right to request removal from the Service as described in our Privacy Policy.

6. Subscriptions, Fees, and Payment

Certain features of the Service require a paid subscription. Fees, billing frequency, and trial terms will be disclosed at the time of purchase. Payments are processed by third-party payment processors, including Stripe, or through applicable app store billing systems (Apple App Store / Google Play). By subscribing, you authorize recurring charges until you cancel. Subscriptions may be cancelled at any time through your account settings or the applicable app store; cancellation takes effect at the end of the current billing period unless otherwise stated. Fees are non-refundable except where required by law or expressly stated at checkout.

7. Acceptable Use

You agree not to:

  • use the Service for any purpose other than legitimate care coordination;
  • upload false, misleading, or fraudulent health or care information;
  • attempt to access accounts, data, or systems you are not authorized to access;
  • reverse-engineer, decompile, or attempt to extract the underlying models, prompts, or source code of the Service;
  • use the Service in a manner that could endanger the Health User or any third party;
  • violate any applicable law, including laws governing the privacy of another person's health information.

8. AI-Generated Content

The Service uses third-party artificial intelligence providers to power features such as voice transcription, text-to-speech, conversational companionship, and summary generation. Outputs from these AI systems are provided "as is," may not always be accurate or complete, and should be treated as supplementary information rather than authoritative fact.

9. Intellectual Property

The Service, including its software, the four-state voice interaction design, alert taxonomy, and all related content, is owned by ISRA AI LLC and protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended personal, non-commercial care-coordination purpose.

10. Disclaimers

Except as expressly stated, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, timely, or error-free.

11. Limitation of Liability

To the maximum extent permitted by law, ISRA AI LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any damages relating to personal injury, death, or property damage arising from reliance on the Service, including failure or delay of any alert or notification feature. Our aggregate liability for any claim arising from the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars (USD $100).

Some jurisdictions do not permit certain limitations of liability (including for gross negligence or personal injury), so some of the foregoing may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless ISRA AI LLC from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your breach of any representation regarding your authority to onboard or share data about a Health User.

13. Termination

We may suspend or terminate your access to the Service for violation of these Terms, non-payment, or extended inactivity, with notice where practicable. You may terminate your account at any time through account settings.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict-of-laws principles. Disputes shall first be addressed informally by contacting info@isra-ai.co. Unresolved disputes shall be finally settled by binding arbitration under the rules of the American Arbitration Association, seated in the State of New Mexico, with each party bearing its own costs except as required by law. You and ISRA AI LLC waive any right to a jury trial or to bring or participate in a class action, to the fullest extent permitted by law. Either party may seek injunctive relief in court for intellectual property or data-security matters.

15. Changes to These Terms

We may update these Terms periodically. Material changes will be notified through the Service or by email prior to taking effect. Continued use after changes take effect constitutes acceptance.

16. Severability and Entire Agreement

If any provision is held unenforceable, the remainder shall remain in effect. These Terms, together with the Khayal Privacy Policy, constitute the entire agreement between you and ISRA AI LLC regarding the Service.
